Terms of Service
Last updated: September 2026
Who we are
These terms apply to work done by Orbis Accounting Ltd., a company incorporated in British Columbia (“we”, “us”), for the client named in the engagement (“you”). We are a bookkeeping practice. We are not a firm of chartered professional accountants, and we do not provide audit, review or other public-accounting engagements.
The engagement
Each engagement is set out in a written quote or engagement letter that names the services, the fee and the term. If it conflicts with these terms, the engagement letter applies to that engagement. Work outside the agreed scope, including catch-up work, tax returns and any filing not listed, is quoted separately before it starts.
What we need from you
You agree to give us complete and accurate financial records, access to the accounting software and accounts we need, and answers to our questions, in time for us to meet the agreed deadlines. You remain responsible for the information you give us, for decisions about your business, and for checking every document before it is filed.
Fees and payment
Monthly fees are billed at the start of the service period. Project-based fees require a 50% deposit. GST and any other tax that applies are added to our fees. Invoices are due on receipt unless an invoice says otherwise. If an account is overdue, we may pause work after giving you written notice, and we are not responsible for filings or deadlines missed while work is paused.
Filings and deadlines
We prepare and file what your engagement lists. A penalty or interest charge that results from records reaching us late, from information that was incomplete or inaccurate, or from a filing you did not ask us to prepare, is not our responsibility.
General information is not advice
Our work is bookkeeping and related preparation. The general information on this website and in our guides is not legal, tax or financial advice for your situation. For decisions about your tax position, your corporate structure or a legal question, consult a qualified professional.
Confidentiality
We keep your financial and business information confidential. We share it only with the service providers that run our website and accounting software, with the government bodies we file to on your behalf, with anyone you ask us to share it with, and where the law requires. Our Privacy Policy explains how personal information is handled.
Your records
Your records belong to you. We work inside your accounting file as an invited user. When an engagement ends, we remove our access and, on request, help you hand your records to whoever you choose. We keep the client records and working papers the law requires for at least six years after the tax year they relate to.
Limit on our liability
We work carefully, but we are not liable for indirect or consequential loss, or for loss of profit or opportunity. Our total liability for any claim arising from an engagement is limited to the fees you paid us for that engagement in the twelve months before the claim arose. These limits do not apply to anything the law does not allow us to limit, including fraud or wilful misconduct.
Ending an engagement
Either of us may end an ongoing engagement on thirty days’ written notice. We may end it sooner if an invoice stays unpaid after written notice, or if we are asked to do something unlawful. You pay for work done up to the end date, and we will hand over what you need to continue elsewhere.
Changes to these terms
We may update these terms, and the date at the top shows the latest version. A change does not alter an engagement letter that has already been agreed unless both of us agree to it in writing.
Governing law and disputes
The laws of British Columbia, and the federal laws of Canada that apply there, govern these terms. If a disagreement arises, we will first try to resolve it in good faith by talking to you. If that does not work, it will be decided by the courts of British Columbia.
By engaging us you accept these terms together with your engagement letter.
